1. Introduction

These Terms of Service ("Terms") govern your use of the Matrix Intelligence Consulting website (miconsulting.sk) and the consulting, engineering, and advisory services provided by MI - CONSULTING, s.r.o. (IČO: 36215317), with registered office at Čsl. odboja 98, 040 11 Košice, Slovakia ("Matrix Intelligence", "we", "us", or "our").

By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

2. Services

Matrix Intelligence provides AI strategy consulting, machine learning engineering, MLOps, data strategy, and related professional services. All services are governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties. These Terms cover website usage and general engagement terms; the signed SOW/MSA takes precedence for any specific project.

3. Intellectual Property

All content on this website — including text, graphics, logos, code samples, and design elements — is owned by MI - CONSULTING, s.r.o. and protected by Slovak and EU copyright law.

For client projects, intellectual property ownership is defined in the individual SOW or MSA. Our default position: the client owns all deliverables, code, and models produced during the engagement. We retain the right to use non-identifiable methodologies and general knowledge gained during the project.

4. Website Use

You agree not to:

• Use the website in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the website or its infrastructure
• Scrape, data-mine, or systematically extract content without written permission
• Use the website to transmit malware, spam, or harmful code

5. Limitation of Liability

The information on this website is provided for general informational purposes only and does not constitute professional advice. We make no warranties regarding the accuracy, completeness, or suitability of the website content.

To the fullest extent permitted by law, MI - CONSULTING, s.r.o. shall not be liable for any indirect, consequential, or incidental damages arising from the use of this website.

For client engagements, liability caps and limitations are defined in the governing SOW or MSA.

6. Confidentiality

We treat all client information as confidential. Any non-public information shared during consultations, discovery sessions, or project engagements is protected under the confidentiality terms of our MSA or a mutual NDA. We never use client data to train models or share client information without explicit written consent.

7. Third-Party Services

Our website integrates with Google Calendar for meeting scheduling. Use of that feature is subject to Google's Terms of Service and Privacy Policy. We are not responsible for the availability or functionality of third-party services.

8. Termination

For client engagements, termination terms are defined in the governing SOW or MSA. We reserve the right to terminate website access for users who violate these Terms.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Slovak Republic. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Košice, Slovakia.

For cross-border client engagements, governing law is specified in the MSA.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be noted on this page with an updated date. Continued use of the website after changes constitutes acceptance. For active client engagements, the Terms in effect at the time of signing the SOW/MSA apply.
